TERMS OF SERVICE


1. Overview

These Terms of Service govern your use of cjsuspension.co.nz and any order, booking, quote, invoice, product or service supplied by CJSuspension Limited.

In these Terms, “CJSuspension”, “we”, “us” and “our” mean CJSuspension Limited. “You” and “your” mean the website user, customer or person acquiring goods or services from us.

By using the website, placing an order, accepting a quote, submitting a booking or instructing us to begin work, you agree to these Terms and any policies incorporated into them.

Nothing in these Terms limits rights that cannot lawfully be excluded.

3. Eligibility and authority

You must provide accurate, current and complete information.

If you place an order or booking for another person, business, bike shop, company or organisation, you confirm that you have authority to bind them and provide their relevant information.

4. Products, information and availability

We take reasonable care with product descriptions, compatibility information, images and pricing. Minor colour, finish or appearance differences may occur.

Suspension compatibility can depend on model year, frame design, measurements, hardware, previous modifications and other factors. You are responsible for providing accurate information requested by us.

Products, prices, specifications and availability may change without notice.

We may correct genuine errors, including pricing, description, compatibility, stock or freight errors. If an error affects an accepted order, we will contact you and provide an appropriate option, which may include correcting the order or cancelling and refunding it.

5. Orders and acceptance

Submitting an order does not require CJSuspension to accept it.

We may decline or cancel an order where:

• a product is unavailable
• information or pricing is incorrect
• payment is not authorised
• fraud or misuse is suspected
• the order breaches these Terms
• supply would be unlawful, unsafe or commercially unreasonable
• the customer has unpaid overdue amounts.

If we cancel an order after payment, we will refund the amount paid for the cancelled item or service, subject to lawful deductions for work already completed, special-order commitments or other agreed costs.

6. Pricing and payment

Prices are displayed in the currency stated on the website and include or exclude GST as indicated.

You must pay all amounts when due. We may withhold goods, stop work, decline further work or delay dispatch until cleared payment is received.

You are responsible for bank, currency conversion, customs, duty, tax and payment-provider charges not expressly included in our price.

7. Quotes and estimates

A quote is valid for the period stated and is based on the information and condition reasonably available when it is issued.

Suspension faults, wear and damage may only become visible after cleaning or disassembly. Unless a fixed-price service expressly includes the required work, additional labour and parts may be required.

We will seek approval before carrying out material additional work where reasonably practicable. We may carry out minor work reasonably necessary to complete the authorised service safely and correctly where the cost remains within any approval limit you provided.

An estimate is not a fixed price.

8. Suspension service authority

By booking or authorising service work, you authorise CJSuspension to inspect, clean, disassemble, measure, test and assess the item within the agreed scope.

You confirm that:

• you own the item or have authority from the owner
• the information you provide is accurate
• you have disclosed known damage, modifications and prior repair attempts
• the item is safe and lawful for us to handle
• you have removed unrelated accessories unless otherwise agreed.

We may refuse or stop work if an item is unsafe, contaminated, structurally compromised, unlawfully modified, outside our capability or unsuitable for the requested work.

9. Pre-existing condition and hidden damage

Used suspension parts may have hidden or pre-existing wear, corrosion, scoring, fatigue, stripped threads, damaged coatings, worn bushings, previous repair damage or unavailable parts.

CJSuspension is not responsible for pre-existing defects or for a component failing because of an unrelated condition, provided we have performed the agreed work with reasonable care and skill.

Disassembly can reveal or worsen a pre-existing weakness that could not reasonably have been identified beforehand. We will take reasonable care and contact you where significant additional issues are found.

10. Customer instructions and warned outcomes

You must provide accurate information about the bike, rider, product, intended use and desired outcome.

Where we warn that a particular result cannot be guaranteed because of component condition, compatibility, an unsupported modification, unavailable parts, customer-supplied parts or another identified risk, and you instruct us to proceed, that specific outcome is not guaranteed.

We will still perform the agreed work with reasonable care and skill.

11. Customer-supplied parts

We may agree to install or use customer-supplied parts.

Unless the issue is caused by our installation, CJSuspension is not responsible for the quality, compatibility, authenticity, durability or warranty of customer-supplied parts.

Additional labour may be charged if supplied parts are incorrect, incomplete, defective or require removal and replacement.

12. Custom tuning, special orders and personalised products

Custom-tuned, custom-built, modified, personalised, special-order, indent, backordered and specifically imported products may require full or partial payment before work or ordering begins.

These products and services cannot be cancelled or returned for change of mind once we have begun work, ordered committed stock or modified the product.

Your statutory rights remain available if the product or service fails to meet a guarantee that applies by law.

13. Cancellation

Product order cancellation before dispatch is subject to our approval.

Service bookings may be cancelled before work starts, subject to any disclosed booking terms.

If you cancel after inspection, diagnosis, disassembly, tuning, servicing or other work has begun, you must pay for completed work, parts used or ordered, and reasonable committed costs.

Non-refundable special-order, custom and payment-provider costs may be deducted where permitted by law.

14. Completion times

Any completion or delivery date is an estimate unless expressly agreed as a fixed commitment.

Timing may be affected by hidden damage, parts availability, supplier delays, freight disruption, workload, warranty assessment, weather, events beyond our control or additional work approved by you.

Where no completion time is agreed, consumer services will be completed within a reasonable time as required by law.

15. Collection and uncollected goods

You must collect and pay for completed workshop work promptly after notification.

If an item remains uncollected or unpaid, we may charge a reasonable storage fee after giving notice, withhold the item to the extent permitted by law, and exercise any rights available under applicable law.

We will not sell, dispose of or otherwise deal with uncollected goods except in accordance with applicable law and any required notice process.

16. Shipping and risk

Shipping is governed by our Shipping Policy.

You are responsible for securely packaging items sent to CJSuspension and for arranging adequate tracking and insurance unless we have agreed otherwise.

CJSuspension is responsible for meeting any delivery obligations that apply under New Zealand consumer law for products we send to consumers.

International customers are responsible for import duties, taxes, customs charges and local clearance requirements.

17. Returns and warranties

Our Return, Refund, Warranty and Exchange Policy forms part of these Terms.

CJSuspension provides a six-month workmanship warranty on suspension service work. It is additional to any rights available under New Zealand law.

Manufacturer and distributor warranty terms may also apply to products.

18. Website use and prohibited conduct

The CJSuspension website and its tools are provided so customers can obtain information, calculate suspension recommendations, book services and purchase products from CJSuspension Limited.

You must not, without prior written permission from CJSuspension Limited:

• scrape, crawl, harvest, download, extract, copy or collect website content or data, whether manually, automatically or through artificial intelligence tools

• copy, reproduce, publish, distribute, display, transmit, modify, translate, adapt or create derivative material from any part of the website

• copy or recreate the structure, wording, question sequence, user journey, output format, recommendations, database structure, interface or presentation of any CJSuspension calculator, tool or resource

• reverse engineer, decompile, disassemble, inspect or attempt to reconstruct any source code, object code, scripts, formulas as expressed in code, calculations, databases or operating logic used by the website

• use CJSuspension material, calculator results or website information to create, develop, train, test, improve, benchmark or operate a competing website, calculator, tool, product or service

• mirror, frame, embed or reproduce any CJSuspension page, calculator or tool on another website, application or platform

• remove, hide or alter any copyright notice, trade mark, branding, attribution or proprietary notice

• use website content or materials for resale, commercial exploitation, competitor research or any purpose other than obtaining or using CJSuspension products and services

• interfere with the website’s security, availability, systems, accounts or operation

• attempt unauthorised access to any non-public information, systems, code, accounts or data.

CJSuspension may restrict access, block automated systems, suspend accounts or take other reasonable action where it believes the website, tools or intellectual property are being misused.

These restrictions do not limit any right or permitted use that cannot lawfully be excluded under applicable law.

19. Copyright and intellectual property

Unless otherwise stated, all original material appearing on cjsuspension.co.nz is owned by or licensed to CJSuspension Limited.

This includes, without limitation:

• written content, product descriptions and service information

• photographs, videos, graphics, illustrations and page designs

• website layouts, interfaces and original presentation

• calculators, product-selection tools and digital resources

• calculator wording, question flows, output presentation and recommendation systems

• databases, data compilations and original database structures

• source code, object code, HTML, CSS, JavaScript, scripts and software

• reports, downloadable materials and other original resources

• the CJSuspension name, branding and logos.

CJSuspension grants website users a limited, revocable, non-exclusive and non-transferable right to view and use the website solely for personal use or for purchasing and using CJSuspension products and services.

No ownership rights are transferred to website users. No other licence is granted.

You may not reproduce, adapt, distribute, publish, sell, commercially exploit or use CJSuspension intellectual property to create or improve a competing product, service, website, calculator or digital tool without prior written permission from CJSuspension Limited.

Third-party product names, photographs, trade marks, logos and other materials remain the property of their respective owners.

Unauthorised use may constitute a breach of these Terms and an infringement of CJSuspension’s intellectual property rights. CJSuspension reserves the right to pursue any remedies available under New Zealand or applicable international law.


20. Reviews, feedback and submitted content

If you submit a review, photograph, testimonial, comment or other content, you confirm that it is accurate, lawful and does not infringe another person’s rights.

You grant CJSuspension a non-exclusive, royalty-free licence to use, reproduce and display submitted content for operating and promoting the business, subject to applicable privacy law.

We may remove content that is unlawful, abusive, misleading, irrelevant or infringes rights.

21. Third-party services and links

Our website may use or link to third-party services, including payment providers, booking tools, social media, shipping platforms and external websites.

Third parties operate under their own terms and privacy policies. CJSuspension is not responsible for third-party content, outages or conduct outside our reasonable control.

22. Privacy

Our Privacy Policy governs how we handle personal information and forms part of these Terms.

23. Liability

For consumers, nothing in these Terms limits or excludes liability, rights or remedies that cannot legally be limited or excluded.

To the maximum extent permitted by law, CJSuspension is not liable for loss caused by:

• inaccurate or incomplete information supplied by you
• misuse, crash damage, poor maintenance or unauthorised modification
• incompatibility that could not reasonably be identified from the information provided
• customer-supplied parts or third-party work
• pre-existing damage or unrelated component failure
• delay or failure caused by events outside our reasonable control
• indirect or consequential loss that was not reasonably foreseeable.

For business customers acquiring goods or services in trade, and to the maximum extent permitted by law, CJSuspension’s total liability arising from a particular supply is limited to the amount paid for that product or service. CJSuspension is not liable to a business customer for loss of profit, revenue, production, opportunity, goodwill, data or any indirect or consequential loss.

This section does not apply to fraud, wilful misconduct or any liability that cannot lawfully be excluded or limited.

24. Business-to-business contracting out

Where you acquire goods or services from CJSuspension in trade, both you and CJSuspension are in trade, and it is fair and reasonable, you agree that the Consumer Guarantees Act 1993 does not apply to that supply to the maximum extent permitted by section 43 of that Act.

This clause does not apply to a consumer acquiring goods or services for personal, domestic or household use.

Any contracting out of the Fair Trading Act 1986 applies only where separately agreed in writing, permitted by that Act, and fair and reasonable.

25. Indemnity for business customers

If you are a business customer, you indemnify CJSuspension against reasonable third-party claims, losses and costs caused by your unlawful conduct, material breach of these Terms, inaccurate instructions, unauthorised use of another person’s property or infringement of third-party rights.

This indemnity does not apply to the extent that the claim or loss was caused by CJSuspension’s breach, negligence or unlawful conduct.

26. Events outside our control

We are not responsible for delay or failure caused by events outside our reasonable control, including natural disasters, severe weather, fire, flood, epidemic, government action, industrial action, transport disruption, border delay, supplier failure, power or internet outage, cyber incident or shortage of parts.

We will take reasonable steps to reduce the effect of the event and resume performance when reasonably possible.

27. Changes to the website and Terms

We may update the website, products, services and these Terms.

Changes apply from the date they are published and do not remove rights already accrued or alter an accepted order in a way that is unlawful.

The version applying to an order or booking is generally the version in effect when the order or booking was made, unless a change is required by law or agreed with you.

28. Severability and waiver

If a provision is unlawful or unenforceable, it will be modified or severed to the minimum extent required. The remaining provisions continue to apply.

A delay in enforcing a right does not waive that right.

29. Entire agreement

These Terms, an accepted quote or booking, and the policies referred to in them form the agreement between you and CJSuspension for the relevant supply.

Specific written terms agreed for an order, wholesale account or service take priority over these general Terms if there is a conflict.

30. Governing law

These Terms are governed by New Zealand law.

The New Zealand courts and tribunals have non-exclusive jurisdiction, subject to any mandatory rights available to an overseas consumer under applicable law.
